1. Acceptance of Terms
By accessing or using the BuySkills marketplace platform (the "Service"), operated by BuySkills ("we", "us", or "our"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to these Terms, please do not use our Service.
2. Definitions
- "Service" means the BuySkills marketplace platform, including all related websites, applications, and services.
- "User" means any individual or entity that accesses or uses the Service.
- "Creator" or "Seller" means a User who publishes plugins for distribution through the Service.
- "Buyer" means a User who purchases or downloads plugins through the Service.
- "Plugin" means software extensions published through the Service.
- "Content" means any information, text, code, graphics, or other materials uploaded, downloaded, or appearing on the Service.
3. Eligibility
To use the Service, you must:
- Be at least 18 years of age.
- Have the legal capacity to enter into binding contracts.
- Not be prohibited from using the Service under applicable laws.
- Not have been previously suspended or removed from the Service.
4. Description of Service
BuySkills is a marketplace platform that enables developers to publish, distribute, and monetize plugins. Creators connect their private GitHub repositories, set pricing (paid or free), and make their plugins available to Buyers. BuySkills facilitates the transaction and distribution of plugins but does not access, store, or control the underlying source code, which remains in the Creator's GitHub repository.
5. Account Registration
- You must provide accurate, current, and complete information when creating an account.
- You are responsible for maintaining the confidentiality and security of your account credentials.
- You must promptly notify us of any unauthorized use of your account.
- One person or entity may not maintain multiple accounts without prior written consent.
- You are solely responsible for all activities that occur under your account.
6. Creators (Sellers)
6.1 Plugin Submission
- You retain full ownership of your plugin code in your GitHub repository.
- By submitting a plugin, you grant BuySkills a non-exclusive, worldwide, royalty-free license to list, display, promote, distribute, and facilitate sales of your plugin through the Service.
- You represent and warrant that you have all necessary rights, licenses, and permissions to the plugin you submit.
- Plugins must not contain malware, viruses, malicious code, or any content that violates applicable laws.
- You are solely responsible for ensuring your plugin complies with all applicable laws and regulations.
6.2 Pricing and Revenue
- You set the price for your plugin (one-time purchase) or offer it for free.
- BuySkills retains a platform fee on each sale. Current fee details are displayed in your creator dashboard and in the Payout Calculator.
- Payment processing fees (Stripe) are absorbed by the platform and shown transparently in your dashboard.
- Prices are displayed and charged in USD.
6.3 Payouts
- Payouts are processed regularly via Stripe to your connected Stripe account.
- Sales are subject to a holding period before they are included in a payout (to account for potential refunds and disputes).
- You must maintain a valid Stripe account in good standing to receive payouts.
- Minimum payout thresholds may apply as determined by Stripe.
- You are solely responsible for any taxes, duties, or levies applicable to your earnings.
6.4 Plugin Requirements
- Plugins must be functional and match their descriptions.
- You must provide accurate descriptions, documentation, and category classifications.
- You are responsible for maintaining, updating, and supporting your plugins.
- BuySkills reserves the right to remove plugins that violate these Terms, receive excessive complaints, or pose security risks, with or without prior notice.
7. Buyers
7.1 Purchases
- All purchases are one-time payments for perpetual access to the plugin version available at the time of purchase.
- Prices are displayed in USD and charged at the time of purchase.
- You receive a limited, non-exclusive, non-transferable license to use the plugin for your personal or business purposes.
- Future updates may be provided at the Creator's discretion.
7.2 Refunds
- For EU/UK users: You have a 14-day withdrawal right for digital content purchases, unless you have expressly consented to waive this right and acknowledged that you lose your right of withdrawal once the download/access begins.
- Refund requests for non-functioning plugins may be submitted if the plugin materially fails to function as described.
- Refunds are handled on a case-by-case basis and are not guaranteed for subjective dissatisfaction.
- We reserve the right to deny refunds for abuse of the refund policy.
- Refund Process: Submit refund requests to support@buyskills.ai with your order number and reason for the request.
7.3 License Restrictions
- Purchased plugins are licensed, not sold, to you.
- You may not redistribute, resell, sublicense, or share purchased plugins.
- You may not reverse engineer, decompile, disassemble, or attempt to extract source code from plugins.
- You may not use plugins for any unlawful purpose.
7.4 Dispute Resolution Between Users
If you have an issue with a purchased plugin, we encourage you to first contact the creator directly. If the issue remains unresolved, contact support@buyskills.ai and we may mediate disputes or issue refunds in cases of clear misrepresentation or non-functional plugins.
8. Prohibited Content and Conduct
The following are strictly prohibited on the Service:
- Plugins containing malware, viruses, trojans, or malicious code.
- Plugins that infringe on intellectual property rights of third parties.
- Plugins that violate any applicable laws or regulations.
- Fraudulent listings, misleading descriptions, or deceptive practices.
- Attempting to circumvent the platform's payment system.
- Harassment, abuse, threats, or discriminatory conduct toward other Users.
- Creating fake reviews, manipulating ratings, or engaging in review fraud.
- Scraping, data mining, or automated access to the Service without permission.
- Impersonating other Users, companies, or individuals.
- Any activity that disrupts or interferes with the Service.
9. Intellectual Property
- Creators retain all intellectual property rights to their plugins.
- The BuySkills name, logo, trademarks, and platform are the exclusive property of BuySkills.
- Users may not use BuySkills trademarks, logos, or branding without prior written permission.
- The Service and its original content (excluding User Content) are protected by copyright, trademark, and other intellectual property laws.
10. Copyright Claims
We respect intellectual property rights. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please contact us at support@buyskills.ai with details of the allegedly infringing material, its location on the Service, and your contact information. We will investigate and take appropriate action.
11. Disclaimer of Warranties
The Service and all plugins are provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. BuySkills does not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected. BuySkills does not guarantee the quality, safety, legality, or suitability of plugins listed by third-party creators. Your use of the Service and any plugins is at your sole risk.
12. Limitation of Liability
To the maximum extent permitted by applicable law, BuySkills, its officers, directors, employees, agents, or affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising from or related to your use of or inability to use the Service or any plugins, regardless of whether such damages were foreseeable. Our total aggregate liability shall not exceed the greater of (a) the amount you paid to BuySkills in the twelve (12) months preceding the claim, or (b) one hundred euros (EUR 100).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless BuySkills, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your plugins or Content; (c) your violation of these Terms; (d) your violation of any rights of another party; or (e) your violation of any applicable laws or regulations.
14. Dispute Resolution
If you have a dispute with BuySkills, we encourage you to contact us first at support@buyskills.ai so we can try to resolve it directly.
Disputes will be governed by applicable law. For claims under a reasonable threshold, disputes may be resolved via email correspondence with our team.
EU/UK Consumers: If you are a consumer in the European Union or United Kingdom, you retain all rights under applicable consumer protection laws. You may bring proceedings before the courts of your country of residence and may use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
15. Governing Law
These Terms are governed by applicable law. For EU/UK consumers, mandatory consumer protection laws of your country of residence apply and take precedence over any conflicting provisions in these Terms.
16. Termination
- You may close your account at any time by contacting us at support@buyskills.ai.
- We may suspend or terminate your account and access to the Service at any time, with or without cause, if we believe you have violated these Terms. Where possible, we will provide reasonable notice before taking such action.
- Appeals: If your account is suspended or terminated, you may appeal the decision by contacting support@buyskills.ai.
- Upon termination, your plugins will be removed from the marketplace.
- Pending payouts will be processed according to our standard schedule, minus any amounts owed to us.
- Sections that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification.
17. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also notify you via email or through the Service. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.
